Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and TicketPassport and govern your access to and use of the TicketPassport app, website and related services. Please read them carefully. By creating an account or using the Service, you agree to these Terms.

Who you are agreeing with The Service is provided by [Operating entity — to be finalised: e.g. “Nicholas Jamou trading as TicketPassport (ABN ___ ___ ___)” or “TicketPassport Pty Ltd (ACN ___ ___ ___)”] (“TicketPassport”, “we”, “us” or “our”), based in Victoria, Australia.
Please read this first — the most important points

1.Agreement & eligibility

By downloading, accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

You must be at least 16 years old to use the Service. By using it, you confirm that you are 16 or over, that you can form a binding contract with us, and that you will use the Service only for lawful purposes and in accordance with these Terms. If you use the Service on behalf of an organisation, you confirm you are authorised to bind that organisation.

2.Definitions

Service
The TicketPassport mobile app, the website at ticketpassport.app, and our related email-ingestion, extraction, storage and back-end services.
Vendor
A ticketing platform, seller, promoter, venue or event organiser that issues or sells tickets (for example, Ticketek, Ticketmaster, Moshtix, Megatix, Oztix, Humanitix, TryBooking, Eventbrite, Ticketbooth).
Ticket data
Ticket confirmation emails, attachments, and the event/ticket details we extract and display for you.
Your content
Any content you provide or make available through the Service, including forwarded/connected emails and attachments, profile details, labels, notes, comments and other posts.
Share
Making the visibility of a ticket available to another user or via a link. A Share is not a transfer of the ticket or of any legal entitlement to attend an event.
ACL
The Australian Consumer Law in Schedule 2 to the Competition and Consumer Act 2010 (Cth).

3.What the Service is (and is not)

The Service helps you organise and view your own event tickets in one place by reading the confirmation emails you forward to us or that we read from a mailbox you connect and choose to scan, and by displaying the extracted details — as a scannable QR code where the ticket uses a static barcode, or as details plus a link to the official app / hosted page where it does not.

The Service is not, and does not:

Entry to events is between you and the Vendor Your right to attend an event, and whether a barcode scans at the gate, is determined solely by the Vendor and its terms — not by us. Always treat the official vendor app, website or physical ticket as the source of truth, arrive with a valid ticket, and follow the Vendor’s and venue’s conditions of entry. We are not responsible for refused or delayed entry, invalid, duplicate, cancelled or rescheduled tickets or events, or any resulting loss.

4.No affiliation; Vendor terms & trade marks

TicketPassport is an independent product. We are not affiliated with, sponsored by, authorised by or endorsed by any Vendor. All Vendor names, logos and trade marks are the property of their respective owners and are used only to identify the source of a ticket. Nothing in the Service implies any association with or approval by a Vendor.

Your tickets remain subject to the terms and conditions of the Vendor that issued them, including any rules about transfer, resale, refunds and entry. You are responsible for complying with those terms. You must not use the Service to breach a Vendor’s terms, to engage in unauthorised resale or scalping, or in any way that is prohibited by applicable ticketing or consumer laws.

6.Your content & the licence you grant

You retain ownership of your content. To operate the Service, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, process, analyse (including via the automated/AI extraction described in our Privacy Policy), adapt and display your content solely to provide, secure, support and improve the Service for you and as otherwise described in our Privacy Policy. Where you Share content with other users, that licence extends to making it available to those users as directed by you.

You represent and warrant that:

We do not claim ownership of your tickets. We may remove or refuse content that we reasonably believe breaches these Terms or the law.

8.Ticket sharing & social features

The Service lets you add friends, see who is going, label who a ticket is for, and Share the visibility of a ticket with a friend or via a link. You understand and agree that:

9.Third-party services

The Service integrates with and links to third-party services (including Vendors, Google and Microsoft mailboxes, Apple/Google sign-in and app stores, and other providers). Your use of those services is governed by their own terms and privacy policies, and you are responsible for complying with them. We do not control and are not responsible for third-party services, and we give no warranty about them. If you connect a mailbox, you authorise us to access it as described in our Privacy Policy, and you may disconnect it at any time.

10.Accuracy, availability & changes to the Service

11.Intellectual property

The Service, and all software, design, text, graphics, the “TicketPassport” name and logo, and other materials we provide (excluding your content and third-party materials) are owned by us or our licensors and are protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the app on devices you own or control, for your own personal, non-commercial use. All rights not expressly granted are reserved. You must not use our name, logo or trade marks without our prior written permission.

12.Fees

The Service is currently provided free of charge. We may introduce paid features or plans in the future; if we do, we will tell you the applicable prices and terms before you incur any charge, and you will not be charged for optional paid features without your consent. Any fees would be handled through the applicable app store or another payment provider under their terms.

13.Consumer guarantees & warranties

Your Australian Consumer Law rights are protected Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that you have under the ACL or any other law where doing so would be unlawful. If you are a “consumer” under the ACL, you may be entitled to remedies (including a repair, replacement, resupply or refund) for a failure of a consumer guarantee.

Subject to the guarantees that cannot be excluded, and to the maximum extent permitted by law:

Where we are permitted to limit our liability for a failure to comply with a consumer guarantee (and the guarantee does not relate to goods or services of a kind ordinarily acquired for personal, domestic or household use or consumption), our liability is limited, at our option, to re-supplying the relevant services or paying the cost of having them re-supplied.

14.Limitation of liability

Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law (including under the ACL). Subject to that, and to the maximum extent permitted by law:

You agree that these limitations are reasonable given that the Service is provided at no charge and is a convenience layer over tickets and services provided by others. Each party must take reasonable steps to mitigate its loss.

15.Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless TicketPassport and its related entities and personnel from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable legal costs) arising out of or in connection with: (a) your breach of these Terms or the law; (b) your content or your use of the Service; (c) your submission of tickets, emails or content you were not authorised to provide; (d) your breach of a Vendor’s or venue’s terms; or (e) your infringement of any third party’s rights. This indemnity is reduced to the extent our own negligence or breach caused the loss.

17.Apple & Google app stores

If you download the app from the Apple App Store or Google Play, you also agree to that store’s terms. You acknowledge that these Terms are between you and us, not with Apple or Google, and that Apple and Google are not responsible for the app or its content. To the extent the app is obtained from the Apple App Store: Apple has no obligation to provide maintenance or support; Apple is not responsible for any product warranties or claims (including product liability, legal/regulatory compliance, or intellectual-property claims) relating to the app, which, as between you and Apple, are our responsibility to the extent required by these Terms and the law; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a relevant embargo and are not on a prohibited-parties list.

18.Privacy

Our Privacy Policy explains how we collect, use, disclose and protect your personal information and forms part of these Terms. By using the Service you acknowledge that collection, use and disclosure.

19.Notices & communications

We may provide notices to you in the app, by email to the address linked to your account, or by posting on our website. You consent to receiving communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. You can send notices to us at support@ticketpassport.app.

20.Changes to these Terms

We may update these Terms from time to time. The “Last updated” date shows when they last changed. If we make a material change, we will take reasonable steps to notify you (for example, by in-app notice or by updating this page) before it takes effect. Your continued use of the Service after a change takes effect means you accept the updated Terms. If you do not agree, you must stop using the Service and may delete your account.

21.Governing law & disputes

These Terms are governed by the laws of the State of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them. If you have a problem, please contact us first at support@ticketpassport.app — we will try to resolve it with you in good faith before either party starts formal proceedings. Nothing in this section prevents either party from seeking urgent injunctive relief, or affects any rights you have to complain to a regulator or to access external dispute-resolution or consumer-protection bodies.

22.General

Entire agreement
These Terms and the Privacy Policy are the entire agreement between you and us about the Service and supersede any prior agreement on that subject.
Severability
If any provision is found unenforceable, it is read down or severed to the minimum extent necessary, and the rest remains in force.
No waiver
A failure or delay by us to enforce a provision is not a waiver of it.
Assignment
You may not assign or transfer these Terms without our consent. We may assign or novate these Terms to a related entity or in connection with a merger, acquisition or sale of assets, provided your rights are not materially reduced.
Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control.
Relationship
Nothing in these Terms creates a partnership, agency, employment or joint venture between you and us.
